# Unsigned entity IP assignment template

**Status: template only — not executed.**

Soul Consciousness Studios is currently an **intended publisher name**, not a formed company that owns Eidovara intellectual property. Formation of an LLC or corporation does **not** automatically transfer pre-formation copyrights, marks, or other rights. If Tyler Michael Bosworth later wants a formed entity to own first-party Eidovara IP, counsel should complete a signed assignment **after** the entity exists.

This file is a blank form for that future step. It is **not** a signed agreement, not evidence that an entity has been formed, and not a USPTO or Copyright Office filing. **Do not commit completed copies to this public repository.** This template is not legal advice.

### 1. Assigned first-party rights

Assignor assigns to Company all of Assignor’s right, title, and interest in qualifying original first-party Eidovara expression and in the claimed unregistered marks Eidovara, Soul (as used for Eidovara’s software self-model feature), and Soul Consciousness Studios, including associated first-party brand assets listed in the project copyright asset register, together with related goodwill, solely to the extent Assignor owns them as of the effective date.

This assignment does not create registrations, patents, or clearance. Company takes the rights subject to the public Eidovara Source-Available Evaluation License and TERMS already granted to users, GitHub’s then-applicable terms for the public repository, and third-party licenses.

### 2. Further assurances

Assignor will execute documents reasonably requested to evidence or record this assignment (including optional recordation at the U.S. Copyright Office or USPTO if counsel later files there), at Company’s expense, without representing that any government office will accept them. This clause does not file those recordations.

### 3. No public-repo execution

Completing placeholders in a git commit, opening a pull request, or merging to `main` is not execution. **Sign privately** on a paper or qualified electronic original stored outside this repository.
